What is a confirmation statement?

Every UK-registered company, including dormant and non-trading companies, must file a confirmation statement (formerly known as an annual return) with Companies House at least once a year. This filing ensures that the information Companies House holds about your company is accurate and up to date.

A confirmation statement also allows a company to report changes about the Standard Industrial Classification (SIC) code, share capital, shareholders and trading status of shares etc.

Even if no changes have occurred during the review period, filing a confirmation statement is still mandatory.

Companies House may prosecute the company officers for not filing the confirmation statement on time and the company may be struck off the Companies House register.

A confirmation statement is due 14 days after the anniversary of your company incorporation or the date you filed the last confirmation statement.

If you do not know when your confirmation statement is due, you can check it on Companies House by searching your company’s name on Companies House service. If you are still not sure of the date, please feel free to contact us for assistance.

A confirmation statement review period refers to the period of time that the confirmation statement covers. If your company was recently incorporated, the review period lasts 12 months after the incorporation date. For companies that have been formed for over a year, the review period is 12 months after the last confirmation statement submission.

Your confirmation statement must be submitted to Companies House within 14 days of your review period. Even if nothing has changed in your company during the review period, you must still submit a confirmation statement.

A confirmation statement allows you to update the following details with Companies House:

  • SIC codes (principal business activities)
  • Changes in shareholders since the last confirmation statement
  • Changes to the statement of capital since the last confirmation statement
  • Trading status of shares
  • Exemption from maintaining a People with Significant Control (PSC) register

Important Note: 

Some information cannot be updated through a confirmation statement including:

  • Registered office address, 
  • Changes in company officers (directors and secretaries) 
  • Updates to persons with significant control
