Frequently Asked Questions

A dormant company is a UK-registered company that has had no significant accounting transactions during a financial year. This means the company is not trading or generating income.

According to Companies House, the following are not considered significant transactions:

  • Filing fees paid to Companies House
  • Penalties for late filing
  • Payment for shares at incorporation

A company can be dormant for a single financial year or throughout its entire life since incorporation.

Yes. All UK-registered companies, including dormant companies, must comply with statutory filing requirements with Companies House.

Dormant companies are required to:

  • File dormant company accounts annually
  • File a confirmation statement (CS01) at least once every 12 months

These filings are mandatory to maintain Companies House compliance and keep the company in good standing.

Dormant company accounts are a simplified version of annual accounts submitted to Companies House. Dormant accounts confirm that your company has had no significant financial activity during the financial year.

A confirmation statement is an annual filing that verifies your company’s details held at Companies House are accurate and up to date. This includes:

  • Directors and company officers
  • Shareholders and share capital
  • Persons with Significant Control (PSC)
  • Registered office address
  • SIC codes (business activities)

Even if no changes have occurred, filing a confirmation statement is still legally required.

Filing on time ensures your company remains compliant with UK company law and avoids penalties. Failure to meet deadlines can result in:

  • Late filing penalties (starting from £150 and increasing over time)
  • Legal action against directors

Company strike-off from the Companies House register

Your confirmation statement is due 12 months after incorporation or your last filing date, and it must be submitted within 14 days of the review period end date.

If you are unsure, you can check your due date on Companies House or contact us for assistance.

The review period is the 12-month period that your confirmation statement covers.

  • For new companies: 12 months from incorporation
  • For existing companies: 12 months from the last confirmation statement

You must file your confirmation statement within 14 days of the review period, even if no changes have occurred.

A confirmation statement allows you to update:

  • SIC codes (business activities)

  • Statement of capital
  • Trading status of shares
  • PSC-related confirmations

Failure to file on time results in automatic late filing penalties, starting at £150 and increasing with delay. Directors may also face legal consequences for non-compliance.Please note: We are not responsible for penalties if your order is placed less than 4 working days before the deadline.

If you receive a reminder, you should arrange to file your confirmation statement as soon as possible.

If you believe it was sent in error, check your company record on Companies House to confirm whether your filing has been successfully submitted.

Effective 18 November 2025, identity verification has become a legal requirement under Companies House regulations for individuals who set up, run, own, or control a UK company. This includes company directors and persons with significant control (PSC), all of whom must verify their identity in accordance with Companies House guidelines.

This requirement has been introduced to improve corporate transparency and prevent fraud. Each individual must complete the verification process either directly with Companies House or through an authorised agent.

Please note that we do not provide identity verification services. This is a personal obligation of the company’s directors and officers, and must be completed by them independently.

Identity verification must be completed before filing your confirmation statement. Once successfully verified, you will receive a unique Companies House personal code, which will be required to complete your filings.
